1. Acceptance of Terms

By accessing or using Agentcy AI ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service. These terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Agentcy AI is a platform that enables users to create, deploy, and manage custom AI agents for business purposes. Our Service includes AI-powered chatbots, workflow automation, team collaboration tools, and related features. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit harmful, offensive, or illegal content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use the Service for spam or unsolicited communications
  • Create AI agents that generate harmful, misleading, or illegal content

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Agentcy AI and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of any content you create using our Service, including AI agent configurations and custom workflows.

6. Subscription and Payments

Some features of the Service require a paid subscription. By subscribing, you agree to pay the applicable fees. Subscriptions automatically renew unless cancelled before the renewal date. Refunds are handled on a case-by-case basis. We reserve the right to change our pricing with 30 days notice.

7. White-Label and Enterprise Licensing

Certain subscription tiers ("Enterprise" or "White-Label Plans") grant you the right to customize the Service's branding for use with your end customers. This section governs the terms of such usage.

7.1 License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Apply your own branding (logo, colors, company name) to the Service interface
  • Use the Service to provide AI agent services to your end customers
  • Create and manage user accounts for your organization's members

7.2 Restrictions

Your White-Label license is subject to the following restrictions. You may NOT:

  • Resell or Redistribute: Sell, license, sublicense, or otherwise distribute the Service or any derivative works to third parties as a standalone product or platform
  • Create Competing Services: Use the Service to create, operate, or enable a competing AI agent platform or similar service
  • Sub-Licensing: Grant any third party the right to use the Service under their own branding or as a white-label solution
  • Create Sub-Tenants: Create additional organizational accounts, tenants, or white-label instances within your account for third parties
  • Reverse Engineer: Attempt to reverse engineer, decompile, or extract source code from the Service
  • Remove Attribution: Remove or obscure any copyright notices, trademarks, or proprietary legends from the underlying Service where required

7.3 End Customer Relationship

When using White-Label features:

  • You are responsible for your relationship with your end customers
  • You must ensure your end customers comply with these Terms
  • You are liable for any violations of these Terms by your end customers
  • You must have appropriate agreements with your end customers regarding data protection

7.4 Permitted Use Cases

For clarity, the following uses ARE permitted under White-Label licensing:

  • Agencies using the platform to provide AI services to their clients
  • Businesses deploying AI agents for their customers under their own brand
  • Organizations creating internal AI tools for their employees
  • Consultants implementing AI solutions for their customers

7.5 Audit Rights

We reserve the right to audit your use of the Service to ensure compliance with these Terms. You agree to provide reasonable cooperation and access to relevant records upon request. Any violation of the licensing terms may result in immediate termination of your account and White-Label privileges.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in our Privacy Policy. You are responsible for ensuring that your use of AI agents complies with applicable data protection laws.

9. Limitation of Liability

To the maximum extent permitted by law, Agentcy AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free. AI-generated content may contain errors or inaccuracies, and users should verify important information independently.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. You may also terminate your account at any time by contacting us. Termination of White-Label accounts will also terminate access for all associated end customers.

12. Indemnification

You agree to indemnify, defend, and hold harmless Agentcy AI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any claims by your end customers in connection with White-Label services.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Agentcy AI is incorporated, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of the applicable jurisdiction.
